Terms of Service

1. Acceptance of Terms

By accessing or using PolisAgent (“the Platform”), operated by PolisAgent Inc. (“we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Platform.

2. Description of Service

PolisAgent is an AI-powered operational tool designed for licensed commercial insurance agencies. The Platform provides workflow automation for submission preparation, policy checking, COI issuance, renewal triage, carrier appetite matching, and other insurance operational tasks.

Important: PolisAgent is an informational tool, not an insurance advisor. All AI-generated outputs are for informational purposes only and require verification by a licensed insurance professional before action. The Platform does not sell, solicit, or negotiate insurance.

3. Eligibility

The Platform is available only to licensed commercial insurance agencies and their authorized employees. By registering, you represent that you hold valid insurance licenses in your operating states and will maintain them throughout your use of the Platform.

4. User Responsibilities

• You are responsible for all decisions made using the Platform. AI-generated outputs must be independently verified by a licensed agent before being relied upon.
• You must not use the Platform to bind coverage, issue policies, or make coverage recommendations to insureds without independent licensed professional review.
• You must maintain the confidentiality of your account credentials and notify us immediately of any unauthorized access.
• You must comply with all applicable insurance laws and regulations in your operating states.

5. AI Disclaimer

The Platform uses artificial intelligence to generate outputs including submission drafts, policy analysis, carrier matching, and other operational content. These outputs:

• Are informational tools only and do not constitute insurance advice
• May contain errors, omissions, or inaccuracies
• Must be reviewed by a licensed insurance professional before action
• Do not replace the judgment of a qualified insurance agent or broker
• Are labeled as AI-generated throughout the Platform

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PLACEMENTOS'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED FIVE HUNDRED DOLLARS ($500 USD).

IN NO EVENT SHALL PLACEMENTOS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, BUSINESS INTERRUPTION, ERRORS AND OMISSIONS CLAIMS, OR REGULATORY PENALTIES.

7. Indemnification

You agree to indemnify and hold harmless PolisAgent from any claims, losses, or damages arising from: (a) your use of AI-generated outputs without independent verification; (b) your violation of these Terms; (c) your violation of applicable insurance laws or regulations; (d) any E&O claims resulting from decisions made using the Platform.

8. Data Ownership

You retain ownership of all data you upload to or generate through the Platform (“Customer Data”). You grant PolisAgent a limited license to process Customer Data solely to provide the Platform services. PolisAgent does not sell, share, or use Customer Data for purposes other than service delivery.

9. Intellectual Property

The Platform, including its algorithms, skill frameworks, user interface, and documentation, is the proprietary property of PolisAgent. You shall not reverse engineer, decompile, or attempt to derive the source code, algorithms, or underlying models of the Platform.

10. Subscription and Billing

Access to the Platform requires a paid subscription. Fees are billed monthly in advance. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period. No refunds are provided for partial months.

11. Termination

Either party may terminate this agreement with 30 days written notice. Upon termination, you will have 60 days to export your Customer Data. PolisAgent will delete your data within 30 days after the export window closes and provide written confirmation of deletion.

12. Governing Law

These Terms shall be governed by the laws of the State of Delaware without regard to its conflict of law provisions. Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules.

13. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email at least 30 days before taking effect. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
